1. Acceptance of Terms
By accessing or using the Nightkey platform ("Service"), including our website, mobile applications, and related services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Description of Service
Nightkey is a nightlife marketplace platform that connects clients, promoters, nightclubs, and bottle servers. The Service facilitates table bookings, bottle service orders, promoter referrals, and venue management through web and mobile applications.
3. User Accounts
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 21 years of age to use the Service.
4. Bookings & Payments
All table reservations and bottle service orders are subject to venue availability and confirmation. Prices displayed are set by the venue and may include minimum spend requirements, service charges, and applicable taxes. Payments are processed through our third-party payment processor. Nightkey is not responsible for payment disputes between users and venues beyond facilitating communication.
5. Cancellation & Refunds
Cancellation policies are set by individual venues and displayed at the time of booking. Refund eligibility depends on the venue's cancellation policy and the timing of the cancellation request. Nightkey reserves the right to mediate disputes but is not obligated to issue refunds on behalf of venues.
If you delete your Nightkey account, any future bookings you have made or joined will be cancelled, and any unsettled deposits will be refunded to your original payment method on a best-effort basis. Bookings that have already been settled (i.e., the night has occurred and the bill has been closed) are not eligible for refund simply due to account deletion.
6. Promoter Terms
Promoters earn commissions based on confirmed bookings made through their referral links. Commission rates are set by venues and may change at any time. Payouts are subject to the payout schedule agreed upon between the promoter and the platform. Nightkey reserves the right to withhold or adjust commissions in cases of fraud or policy violations.
7. Venue Responsibilities
Venues are responsible for the accuracy of their listings, pricing, availability, and the quality of service provided to guests. Venues must honor confirmed bookings and adhere to all applicable local laws and regulations regarding alcohol service and occupancy.
8. Prohibited Conduct
You may not use the Service for any unlawful purpose, to harass or harm other users, to submit false or misleading information, to manipulate bookings or referral systems, or to interfere with the operation of the platform.
You may not post, send, upload, or share any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, hateful, discriminatory, violent, or otherwise objectionable. This includes profile photos, message attachments, message text, display names, and any other user-generated content.
You may not impersonate another person, share another user’s personal information without consent, or use the Service to spam, defraud, or solicit other users.
9. User-Generated Content & Moderation
Nightkey hosts user-generated content, including in-app messages, message attachments, profile photos, and promoter-supplied guest lists. You are solely responsible for content you submit and represent that you have the right to share it.
We do not pre-screen content but reserve the right to review, remove, or restrict any content that violates these Terms or applicable law, and to suspend or terminate the accounts of users who do so.
How to report objectionable content or abusive behavior. In the mobile app, open the conversation, tap the menu icon in the top-right corner, and choose Report user or Block user. You may also email support@nightkey.io with the offending user’s name, the conversation, and a description of the issue.
Our response time. We review every report submitted through the in-app or email channels and take action within 24 hours of receipt. Action may include content removal, formal warning, account suspension, or permanent termination, in our reasonable discretion and based on the severity of the violation.
Blocking. Blocking a user prevents them from sending you new messages and removes their messages from your view. The block applies to the conversation and persists across sessions until you unblock the user from the same menu.
10. Intellectual Property
All content, design, and technology on the Nightkey platform are owned by or licensed to Nightkey. You may not copy, modify, or distribute any part of the Service without prior written consent.
11. Limitation of Liability
Nightkey is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Nightkey shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
12. Changes to Terms
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify users of material changes via email or in-app notification.
